Terms of Service

1. Introduction

Welcome to GenexOne LLC ("GenexOne," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the GenexOne client portal located at genexone.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

GenexOne operates a business-to-business digital agency portal that provides the following capabilities to authorized clients:

  • Project management and tracking
  • Quotation and invoice generation
  • Secure file sharing and cloud storage
  • Real-time notifications and communication
  • Reporting and analytics dashboards

3. Account Terms

The Service operates on an invite-only basis. Accounts are created exclusively by GenexOne administrators. You may not create an account on your own or share your credentials with any third party. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at hello@genexone.com if you suspect any unauthorized use.

4. User Responsibilities

By using the Service, you agree to:

  • Provide accurate and current information when requested.
  • Use the Service only for lawful business purposes.
  • Not attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
  • Not upload malicious files, viruses, or any harmful content.
  • Not reverse-engineer, decompile, or disassemble any part of the Service.
  • Comply with all applicable local, state, national, and international laws and regulations.

5. Payment Terms

Payments for services rendered by GenexOne are processed through Stripe, a third-party payment processor. By making a payment through our portal, you agree to Stripe's Terms of Service.

  • Invoices are generated within the portal and must be paid by the due date indicated.
  • Late payments may result in suspension of access to the Service or project deliverables.
  • All fees are stated in the currency indicated on the invoice and are non-refundable unless otherwise agreed in writing.
  • GenexOne does not store your full credit card information; all payment data is handled securely by Stripe.

6. Intellectual Property

All content, features, and functionality of the Service (including but not limited to software, design, text, and graphics) are the exclusive property of GenexOne LLC and are protected by copyright, trademark, and other intellectual property laws. Client deliverables are subject to the terms agreed upon in individual project contracts. Unless explicitly stated otherwise in a written agreement, GenexOne retains ownership of all proprietary tools, frameworks, and reusable components developed during the course of work.

7. File Storage

The Service provides cloud-based file storage powered by Cloudflare R2. Each account is allocated a default storage quota of 5 GB. Additional storage may be made available upon request and may be subject to additional fees. You are solely responsible for the content of files you upload. GenexOne reserves the right to remove files that violate these Terms or applicable law. We do not guarantee indefinite retention of uploaded files; you should maintain your own backups.

8. Data Handling and Confidentiality

We treat all client data as confidential. Information shared through the portal, including project details, files, and communications, will not be disclosed to third parties except as required to deliver the Service or as mandated by law. 9. Limitation of Liability

To the maximum extent permitted by law, GenexOne LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of or inability to use the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid to GenexOne in the twelve (12) months preceding the claim. The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

10. Termination

GenexOne reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately. You may request the export of your data within 30 days of termination by contacting us at hello@genexone.com.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict-of-law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Service or via email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
